Updated continuing-earnings amendment · DCC-2026-10-31-v1.3

This company-authorized amendment removes the old five-year and monetary-cap provisions for qualifying periods after affirmative contributor acceptance. It supplements and supersedes conflicting economic provisions in the archived source below; other clauses remain. Historical signed copies are preserved, not edited.

DAILY CLIP COUNTDOWN — CONTRIBUTOR EARNINGS AND FOOTAGE LICENCE AMENDMENT Version: DCC-2026-10-31-v1.3 Issued by: Vyrio Media Inc., operating the Daily Clip Countdown brand 1. PURPOSE AND APPLICABILITY This amendment modifies the earnings-duration and maximum-earnings provisions of the Contributor Footage Licence Agreement and Submission Terms & Earnings Rules. It applies prospectively once the contributor affirmatively accepts it and it is effective for that contributor's new qualifying revenue periods. The existing signed documents remain in force except to the extent expressly amended below. Previously accrued, settled or paid periods are preserved and are not retrospectively repriced solely by this amendment. 2. NO FIVE-YEAR EXPIRATION Any provision that automatically ends a contributor's share five years after first qualifying publication is deleted for revenue periods governed by this amendment. There is no fixed time expiration. The contributor remains eligible for its contracted share of attributable qualifying receipts generated from monetization of its eligible footage for as long as the company monetizes that footage and the applicable commercial rights and other eligibility conditions remain in force. 3. NO PER-ORIGINAL OR LIFETIME DOLLAR CAP The CAD $5,000 base-tier limit, CAD $10,000 Legend-tier limit, intermediate tier ceilings and any cumulative per-original, per-group, five-year or lifetime earnings cap are removed for qualifying revenue periods governed by this amendment. Previously earned amounts do not reduce future qualifying allocations. No maximum earning amount applies to an individual eligible original clip or to all of a contributor's eligible originals combined. 4. SHARE CALCULATION AND RANK MULTIPLIERS For every monetized video, Short, or long-form compilation, without a fixed five-clip limit, the base allocation is 20% of eligible net attributable receipts, divided equally across its distinct eligible, rights-cleared original footage sources. Each original footage source counts once regardless of repeated appearances in that video; separate genuinely different eligible originals each count once. Where a qualifying original is contributor-owned, its owner receives the base allocation for that source multiplied by their applicable verified tier: Scout 1.00x (20% rate before division), Spark 1.10x (22%), Rising Star 1.25x (25%), Headliner 1.50x (30%), or Legend 2.00x (40%). If an original is company-owned or is otherwise entitled to no outside-contributor payout, its allocated base share remains with the company rather than increasing the share of other contributors. Unverified or unlawfully sourced footage cannot create a payable contributor entitlement. Every contributor's tier uplift above its base share is borne by the publisher and does not reduce another contributor's allocation. Tier changes apply prospectively to qualifying periods under their verified effective dates; earlier periods are not automatically repriced. The use of a greater number of clips does not create any cap on total or lifetime eligible earnings. 5. ONGOING MONETIZATION AND LATE RECEIPTS Qualifying monetization may include continued or repeat commercial use of the same eligible original where properly licensed, attributed, tracked and monetized by the company. A contributor's right to qualifying earned-but-unpaid amounts is not extinguished by the passage of time or by cessation of future publication. No revenue share is generated where no qualifying attributable monetized receipts exist. The publisher may not redirect an otherwise owed contributor share to the company merely because an elapsed time or a prior dollar total has been reached. 6. CONDITIONS, ADJUSTMENTS AND PAYMENTS Submission, acceptance, publication, monetization, views or tier status do not guarantee earnings. Allocations depend on independently verified ownership, licensing and platform rights, eligible attribution, actual qualifying net receipts, financial reconciliation and lawful adjustments for platform deductions, refunds, chargebacks, taxes and corrections. Company-initiated payments are normally processed on a monthly cycle after finalization, required verification, rights checks, payment eligibility and any applicable legal obligations. No contributor withdrawal request is required. Estimated dashboard values do not represent funds guaranteed or already payable. 7. RIGHTS AND ORIGINAL RECORDS This amendment does not excuse unlawful submissions, override third-party copyright, change the treatment of company-owned or unassigned footage, or automatically extend a licence after a lawful termination. No audio, music, image or personality rights are implied. Historical rights records, accepted document versions, earnings, corrections and confirmed payments remain auditable. The company will keep attribution and receipt evidence for each qualifying revenue period and will retain records of the contributor's affirmative acceptance. 8. PRECEDENCE AND ACCEPTANCE For an accepting contributor, this amendment supersedes conflicting five-year earnings-window and dollar-cap clauses in the existing Contributor Footage Licence Agreement and Submission Terms & Earnings Rules solely for revenue periods to which this amendment applies. All non-conflicting provisions remain in force. Acceptance is recorded electronically with this exact version and document digest. An existing contributor who has not accepted the amendment remains subject to its previously accepted contractual terms until a valid amendment is agreed. For rights or compensation disputes, existing legally binding rights and applicable law prevail; no unpublished guarantee is created. Vyrio Media Inc. — Daily Clip Countdown

Contributor Footage Licence Agreement

Commercial audiovisual licensing and contributor representations

Publisher: Vyrio Media Inc. (operating the Daily Clip Countdown brand) | Version: DCC-2026-10-19-v1.0 | Effective upon affirmative acceptance/publication as applicable.

1. Parties; electronic formation

This Contributor Footage Licence Agreement (Agreement) is entered into between Vyrio Media Inc., carrying on the Daily Clip Countdown brand (Publisher, we, us), and the identified adult individual or duly authorized entity representative affirmatively accepting it (Contributor, you). The Agreement applies separately to each identifiable Original Clip submitted and expressly accepted by Contributor through the submission process. A unique submission identifier, timestamp, terms-version digest and electronic acceptance record form part of its evidentiary record. Acceptance by Contributor creates the rights grant in Section 4; Publisher retains sole discretion whether to approve, publish, monetize or reject any footage.

Clicking a clearly labelled, unchecked-by-default acceptance control and submitting with an authenticated account constitutes Contributor’s electronic assent and intention to sign and be bound, subject to applicable legislation. Publisher should send or make available a durable copy of the accepted document. Submission of a file alone without recorded affirmative assent does not constitute execution.

2. Definitions

“Original Clip” means the original audiovisual recording or substantially the same underlying recorded event, together with submitted source files, alternate crops, versions and near-identical encodes, identified by content fingerprints and metadata; multiple submissions or duplicate edits do not create additional earnings caps. “Submission” means a designated Original Clip plus metadata, releases and evidence. “Qualified Video” means a Publisher-controlled video containing five identified ranked Original Clips, including a qualifying exploitation of an approved Submission. “First Qualifying Publication” means the first verified public publication of a Qualified Video containing that Original Clip; its date determines the earning window.

“Eligible Video Revenue” means actually received, finalized, reasonably video-attributable creator advertising and platform monetization receipts payable to Publisher for a Qualified Video from supported distribution platforms, after platform commissions, reversals, chargebacks, taxes withheld by platforms where legally applicable, and reported corrections; it excludes unreceived estimates, traffic projections, sponsorships, product placements, merchandising, affiliate fees, donations, licensing fees from third parties, unrelated content income and Publisher’s other business receipts unless a separately signed schedule expressly includes them. “Contributor Share” means the conditional per-Original-Clip compensation determined under the Submission Terms & Earnings Rules incorporated by reference. “Rights Evidence” means the original master, ownership history, written permissions, releases, licence chain and other documentation reasonably necessary to establish authority.

3. Original authorship, ownership and authority

Contributor represents, warrants and undertakes that (a) Contributor filmed and owns the Original Clip, including copyright and all rights required to grant this Agreement, OR possesses complete, enforceable, documented commercial redistribution and sublicensing authority from every person or entity holding relevant rights; (b) such authority covers worldwide perpetual commercial exploitation, editing, compilation, platform sublicensing and monetization without infringing exclusivity or other restrictions; and (c) Contributor can produce documentary proof on request and where required by law. Merely appearing in a video, buying a file, reposting it, downloading from social media or obtaining informal verbal permission that does not grant the necessary rights does not establish authority.

Contributor shall identify all copyright co-owners, creators, employer/commissioned-work claims, agencies, prior exclusive or conflicting licences, music and sound-recording rights, third-party artwork, trademarks, source platform restrictions, and material releases for identifiable persons, minors or restricted locations as legally needed. Where Contributor is an authorized agent, Contributor warrants authority to bind every relevant principal and shall supply the written agency/authority instrument. Contributor must promptly notify Publisher if any representation becomes inaccurate.

4. Licence grant and reservation of title

For each Original Clip validly submitted under this Agreement, Contributor hereby grants Publisher a perpetual, irrevocable except where mandatory law requires otherwise, worldwide, non-exclusive, royalty-bearing solely to the extent stated in the incorporated Earnings Rules, otherwise fully paid-up, transferable with a bona fide sale or reorganization of the relevant brand or business, and sublicensable to Publisher’s affiliates, production contractors, hosting platforms, distribution networks, marketing partners and their technical service providers solely as reasonably necessary to exploit the permitted uses, licence under all controlled copyright and related rights to reproduce, copy, store, transcode, synchronize with lawfully licensed music, edit, adapt, crop, excerpt, caption, translate, narrate, annotate, composite, combine with other material, produce derivatives, communicate to the public, make available, perform, display, distribute, advertise, promote, archive, re-upload, monetize and otherwise commercially exploit the Original Clip in any present or later-developed media and channels.

The licence continues throughout the applicable copyright term and does not cease when the five-year earnings window expires, the cap is met, the account closes, a clip is no longer selected for new use, or the Contributor requests withdrawal, except to the extent compulsory law, a binding order or Publisher’s written agreement requires removal. Contributor retains ownership and may independently exploit and license the Original Clip subject to any obligations owed to third parties; Publisher receives no ownership assignment.

5. Editing integrity; attribution; moral rights

Contributor expressly consents to the ordinary authorized transformations described above, including rankings, reactions, narration, subtitles, visual effects and contextual compilations. To the extent Contributor holds applicable Canadian moral rights, Contributor expressly waives, in favour of Publisher and its lawful authorized users, only those moral rights to the limited extent reasonably necessary for permitted edits, formatting, omission of on-screen credit, excerpts, contextual combination and localization; nothing authorizes knowingly false authorship attribution, materially defamatory use or unlawful misrepresentation. Contributor shall procure equivalent written consents/waivers from any separate author or performer to the extent required; Contributor cannot waive rights owned by others. The Parties acknowledge the Copyright Act distinguishes assignable economic rights from non-assignable but waivable moral rights.

6. Compensation; allocation and survival

Compensation is governed by the separate Submission Terms & Earnings Rules, which are incorporated into this Agreement and accepted contemporaneously. For each Qualified Video, the total contributor pool is twenty percent (20%) of its Eligible Video Revenue, allocated in five equal notional portions of four percent (4%) each to the five identified positions/original recordings, subject individually to eligibility. A Contributor receives one eligible portion for each distinct original owned/licensed by that Contributor that appears in such a video, subject to duplicates, caps, expiry and any validated financial adjustments. The CAD $5,000 cumulative cap applies to each Original Clip across ALL Qualified Videos, formats, accounts and repeated uses combined, not per upload, video, platform or contributor account. Each Original Clip earns only for five calendar years from its First Qualifying Publication, or until its CAD $5,000 cap is reached, whichever first. An expired or capped portion is not redistributed to other Contributors. Earned but unpaid sums remain a debt subject to lawful adjustments and payments; expiry ends new accrual, not the underlying licence. No minimum earning, selection or payment is guaranteed.

7. Warranties; prohibited submissions

Contributor shall not submit stolen, pirated, unlicensed or deceptive footage; unlawful recordings; content involving abuse, sexual exploitation, threats, hate, animal cruelty or materially dangerous conduct; infringements of privacy or publicity/personality rights; confidential business or government information; material containing unauthorized third-party music; impersonation; undisclosed synthetic footage falsely offered as genuine filmed footage; or files infected with malware. Contributor shall not misrepresent dates, locations, authorship, participant consent, commercial rights or exclusivity. Publisher may demand unedited camera originals, file metadata, contemporaneous publication history and written releases before, during or after monetization.

8. Infringement complaints; enforcement and removal

Copyright complaints, credible copyright strikes, DMCA or Canadian statutory notices, rights disputes and legal process shall be investigated promptly and seriously. Where an Original Clip was not filmed and owned by Contributor, or Contributor lacks provable authority to commercially redistribute and sublicense it, Publisher may reject and quarantine it, cease using it, remove corresponding videos from ALL Publisher-controlled platforms to the extent technically and legally practicable, disable monetization and suspend the associated earnings pending investigation or lawful determination. Publisher may remove or demonetize other videos affected by the same deficient rights, notwithstanding that platforms may retain caches or third-party copies outside Publisher’s control.

A substantiated copyright strike or material fraudulent rights claim may result in immediate termination of platform/account participation, permanent exclusion from future submissions and the contributor earnings program, withholding only amounts genuinely disputed or legally required to be withheld, correction of past erroneous allocations and other lawful remedies. Termination shall not constitute automatic forfeiture of undisputed earned compensation unless lawfully recoverable as damages, set-off or under an applicable judgment. Publisher may notify platforms, owners and authorities where required or reasonably justified.

9. Claims, indemnification and limitation

To the fullest extent permitted by law, Contributor shall defend, indemnify and hold Publisher, its officers, affiliates and lawful sublicensees harmless from reasonable third-party losses, settlements, damages, penalties and outside legal expenses to the extent caused by Contributor’s material breach of authority, ownership or permissions warranties, infringement, unlawful submission, fraud or wilful misconduct, excluding losses caused by Publisher’s unauthorized modification or independent wrongful conduct. Publisher shall give reasonably prompt notice and permit Contributor appropriate participation in a defence, without requiring Publisher to relinquish control of its platform response. This provision remains subject to non-excludable statutory rights and judicial scrutiny.

To the extent lawful, Publisher disclaims any commitment to publish, guarantee reach, earn revenue or maintain third-party platform access. Neither Party excludes liability that cannot lawfully be excluded. Any limitation of Publisher liability must not defeat payment of undisputed accrued Contributor Shares.

10. Compliance; sanctions and taxation

Contributor represents they are not an individual, entity or intermediary designated under applicable Canadian sanctions, UN measures implemented in Canada, or other sanctions regimes binding on Publisher or its lawful payment providers, and are not acting for a blocked person. Eligibility to receive payment is conditional on passing reasonable identity, residence, beneficial ownership, tax and sanctions/anti-money-laundering screening. Publisher must not make or facilitate payments where prohibited, including to a blocked party or into a territory or through a route subject to applicable comprehensive or transaction-specific restrictions. The mere existence of sanctions against a country does not by itself establish a universal prohibition against every resident: specific rules govern. Payment may be suspended while legally required, and handled as mandatory law directs; Contributors may not circumvent restrictions using nominees or alternate accounts. Each Contributor is responsible for tax reporting and lawful supporting forms; Publisher may make legally required deductions and reports.

11. Notices, dispute resolution and governing law

Copyright, licensing and takedown notices: contact@dailyclipcountdown.com; submissions and rights evidence: clips@dailyclipcountdown.com. Notices must identify the challenged clip, claimant, legal basis, ownership evidence and reliable reply contact. Parties shall first attempt good-faith written resolution for 30 days without delaying emergency injunctive relief or required legal reporting. Subject to mandatory consumer, privacy and jurisdictional laws, this Agreement is governed by Nova Scotia and applicable federal Canadian law, with courts of Nova Scotia having non-exclusive jurisdiction where lawful. Nothing diminishes copyright owners’ statutory remedies or regulators’ authority.

12. Assignment, changes, severability and entire agreement

Publisher may transfer this Agreement with a bona fide transfer of the relevant enterprise if the transferee assumes surviving payment, privacy and licensing obligations. Contributor may not assign payment claims or purported rights without written notice and verifiable authority, subject to law. Publisher may change future submission terms on notice; no material change to an existing accepted earnings cap, earning window, accrued compensation or granted scope shall operate retroactively without the affected Contributor’s separate affirmative consent unless required by law. Invalid provisions are severed only to the extent necessary; the remainder remains in force. This Agreement, the separately accepted Submission Terms & Earnings Rules and any clip-specific written schedules constitute the entire agreement concerning the identified Original Clip. Electronic records and copies have the intended evidentiary effect under applicable law.
